The Situation
A Bangkok-based software development company had been trading under its brand name for four years without formal trademark registration. The founders became aware that a similar name was being used by a newer entity in the same sector and wanted to establish prior claim through official registration.
What We Did
Panya conducted a comprehensive trademark search across the DIP database and relevant international classes. The search confirmed prior use and supported the registration application. Documentation was prepared and filed within the agreed three-week preparation period. A response to an office action from the DIP was also handled during the examination phase.
The Outcome
The trademark application was accepted by the Department of Intellectual Property and proceeded to publication. The company now holds an official registered trademark, providing the formal legal basis for asserting its rights to the brand name in future commercial or legal contexts.
Australian Couple — Condominium Purchase, Bangkok
Real Estate Transaction — October to November 2025
The Situation
An Australian couple relocating to Bangkok for work sought to purchase a condominium in the Silom area. As foreign nationals, they needed confirmation that the unit fell within the foreign ownership quota for the building and that the title was unencumbered. They had received a standard sale and purchase agreement from the developer's agent.
What We Did
Nattaya verified the foreign ownership quota status of the building at the Land Office and confirmed the title deed was free of encumbrances and mortgages. She reviewed the sale and purchase agreement and identified several clauses that were unfavourable to the buyers, recommending specific amendments. A supplementary agreement was drafted to address payment staging concerns.
The Outcome
The developer accepted the proposed amendments. The transfer was completed at the Land Office with Nattaya in attendance. The clients received a clean transfer of title within the foreign ownership quota, with contractual terms that reflected their interests rather than those of the developer's standard form agreement.
Distribution Company — Governance Restructure, Bangkok

The Situation
A distribution company with eight shareholders and a mixed Thai and foreign board had accumulated several years of undocumented board decisions and informally convened shareholder meetings. The company was in preliminary discussions about a strategic acquisition and needed its governance records to withstand due diligence scrutiny.
What We Did
Wichai conducted an initial governance audit, identifying the gaps between actual practice and the requirements of the Civil and Commercial Code. A structured remediation plan was prepared to document prior decisions correctly and establish proper meeting procedures going forward. The company then entered the ongoing quarterly advisory arrangement.
The Outcome
Within two quarters, the governance records were sufficiently structured to proceed with the due diligence process. The acquiring party's legal team found no material governance issues. The company continues on the quarterly advisory arrangement to maintain the standard reached during the remediation period.
